Terms of Use

These Terms of Use govern access to and use of the HireTrust service, including the public website and portals such as the Employer Portal, Jobs Portal, and Applicant Portal.

Overview

These Terms of Use (Terms) are a legally binding agreement between you and Astatinn LLC (Astatinn, we, us). They govern your access to and use of HireTrust, including the public website and any portals we operate such as the Employer Portal, Jobs Portal, and Applicant Portal (collectively, the Portals).

If you use HireTrust on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not have that authority, do not use the service.

If you have a separate written agreement with Astatinn (such as a master services agreement, statement of work, data processing addendum, or service level agreement), that agreement controls to the extent it conflicts with these Terms.

Important

By accessing or using the Service, you agree to these Terms. If you do not agree, you must not access or use the Service and you should discontinue use immediately.

Your agreement is not limited to situations where you click an explicit “I agree” button. Use of the Service constitutes acceptance of these Terms to the maximum extent permitted by law.

Definitions

For the purpose of these Terms:

  • Service means HireTrust, including the Portals, workflows, validation process, and reporting.
  • Employer means a company or authorized representative using the Employer Portal or receiving reporting.
  • Candidate means an individual applying to roles or participating in validation steps.
  • User Content means content submitted or generated through the Service, including role requirements, evaluation criteria, notes, messages, candidate submissions, and recordings if applicable.
  • Decision Brief means the structured reporting outputs made available to authorized users (including strengths, risks, and interview prompts).
  • Portals means the public website, Employer Portal, Jobs Portal, and Applicant Portal.
  • AI-assisted features means tools that use automated techniques to support validation, summarization, fraud prevention, or workflow productivity. Outputs are intended to assist human review, not replace it.

Headings are for convenience and do not affect interpretation. The words “including” and “such as” mean “including without limitation.”

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization.

The Service is intended for business use. If mandatory consumer protections apply to you, those protections remain in place, and some provisions in these Terms may not apply to you to the extent prohibited by law.

  • You may not use the Service if you are prohibited from doing so under applicable law.
  • You must comply with trade controls and sanctions restrictions applicable to your location and use.

Accounts

Some parts of the Service require an account (including the Employer Portal and Applicant Portal). You agree to provide accurate account information and keep it up to date. You are responsible for all activity under your account.

  • Keep credentials secure and use appropriate access controls for team members.
  • Do not share accounts. Use separate user accounts and role-based permissions.
  • Notify us promptly if you suspect unauthorized access, credential compromise, or a security incident.
  • You consent to security and administrative notices being sent to the email address associated with your account.
Account security

You are responsible for maintaining the confidentiality of credentials and for restricting access to devices and accounts. You agree to cooperate with reasonable security measures we implement, including multi-factor authentication where available.

Service terms

HireTrust is the hiring intelligence system behind Astatinn’s service delivery. We may provide role intake, calibration, candidate validation steps, structured interviews, reporting, and portal access depending on your engagement.

The Service may change over time. Some features may be introduced, modified, or discontinued. Certain features may be offered only to enterprise customers under separate written agreements.

Portals and outputs

  • Employer Portal: workflow, visibility, and reporting for authorized employer users.
  • Applicant Portal: candidate participation, submissions, and status updates where available.
  • Jobs Portal: role listings and related application flows where available.
  • Decision Briefs: structured summaries intended to support human hiring decisions.

Outputs may include risk indicators, summaries, prompts, and structured notes. Outputs are designed to increase clarity and consistency, but they are not guarantees of future performance and they should be reviewed by humans.

AI-assisted features

To improve hiring productivity and consistency, the Service may use AI-assisted features in certain workflows, including:

  • AI-assisted review of submissions and evidence to identify issues for human reviewers.
  • AI suggestions to help candidates in the Applicant Portal understand instructions and next steps.
  • AI helpers for fraud prevention and identity verification checks in applicant onboarding and KYC-related flows where applicable.
Human review remains required

AI-assisted features provide decision support. They do not make final hiring decisions. Employers and Astatinn reviewers remain responsible for review, interpretation, and final decisions.

Employer responsibilities

  • You remain solely responsible for hiring decisions, offers, compensation, and employment terms.
  • You are responsible for complying with applicable employment, privacy, and anti-discrimination laws.
  • You must ensure that internal users access candidate materials only on a need-to-know basis.
  • You must ensure that your internal hiring team uses the Service outputs as decision support, not as a substitute for human review.

Candidate responsibilities

  • You are responsible for the accuracy of submissions, communications, and representations.
  • You must comply with integrity requirements for assessments and validation steps.
  • You must not upload confidential information you do not have the right to share.

Fees and billing

Certain Service features are offered under paid enterprise terms. Fees, billing cycles, payment terms, and any service levels are set out in your applicable order form, statement of work, or other written agreement with Astatinn.

  • Unless otherwise stated in writing, fees are non-refundable and exclusive of applicable taxes.
  • You are responsible for applicable taxes, duties, and similar government charges.
  • We may suspend access for non-payment as permitted under your agreement and applicable law.

Candidate submissions, assessments, and integrity

The Service may include structured steps designed to produce decision-grade evidence, including assessments, written responses, code submissions, and interviews. The exact steps and format are role-dependent.

  • Candidates must not misrepresent authorship, use unauthorized assistance, or circumvent integrity controls.
  • Employers must not request or encourage candidates to share protected or confidential information from previous employers.
  • We may invalidate results and restrict access if we detect misuse, fraud, or integrity violations.
  • Candidates grant Astatinn a limited license to process submissions for validation, reporting, and sharing with authorized employer users.

Acceptable use

You agree not to misuse the Service. Prohibited conduct includes:

  • Accessing or attempting to access data you are not authorized to access.
  • Interfering with, disrupting, or attempting to overload the Service or its infrastructure.
  • Uploading malware, exploiting vulnerabilities, or attempting to bypass security controls.
  • Scraping, crawling, or harvesting content at scale without written permission.
  • Reverse engineering or attempting to discover source code or underlying models, except as permitted by law.
  • Using the Service to discriminate unlawfully or to violate employment laws and regulations.
  • Sharing Decision Briefs or candidate materials outside your organization without a lawful basis and permissions.
  • Using the Service to build or benchmark a competing service without written permission.

We may monitor usage for security, abuse prevention, and service quality. We may investigate suspected violations and take action, including rate limiting, suspending access, or removing content, where appropriate and permitted by law.

Content

The Service may process User Content submitted by employers and candidates. You retain ownership of your User Content. You grant Astatinn a limited, worldwide, non-exclusive license to host, process, transmit, and display User Content solely to operate, secure, and provide the Service, including delivering outputs to authorized users.

You represent that you have the rights and permissions required to submit User Content and to grant the license described above.

If you provide feedback, suggestions, or ideas about the Service, you grant Astatinn a perpetual, irrevocable, worldwide right to use that feedback without restriction or compensation.

Intellectual property

HireTrust, the Portals, and all related software, workflows, and materials are owned by Astatinn or its licensors and are protected by intellectual property laws. Except as expressly permitted, no rights are granted to you in the Service.

You may not copy, modify, distribute, sell, lease, or create derivative works of the Service or any part of it, except as permitted by applicable law.

Third-party services

The Service may integrate with or rely on third-party services (for example, cloud infrastructure, email delivery, analytics, security, and identity providers). Third-party services are subject to their own terms and privacy policies. Astatinn is not responsible for third-party services outside our reasonable control.

We may use third-party analytics services for the public website and portals, including Google Analytics, when enabled. Analytics are used to understand usage and improve reliability. Where required by law, we will request consent before enabling non-essential analytics cookies. See the Cookie Policy.

We may also use third-party AI services and self-hosted models to support AI-assisted features described above. These services are used to support human review, not to replace it.

Privacy and security

Our Privacy Policy and Cookie Policy describe how we collect and process information. Employers may have additional obligations to provide candidate notices and obtain appropriate consents depending on applicable law.

We implement security controls appropriate for a hiring service. No system is perfectly secure. You are responsible for using the Service in a secure manner, including protecting account credentials.

Confidentiality

You may receive confidential information through the Service, including candidate materials, Decision Briefs, evaluation criteria, and employer role details. You agree to keep such information confidential and to use it only for legitimate hiring purposes and only within your organization, unless disclosure is required by law.

Employers must ensure that candidate materials are handled in accordance with internal policies and applicable law, including access limitations, retention practices, and secure storage.

Disclaimers

The Service is provided on an "as is" and "as available" basis, to the maximum extent permitted by law. Astatinn disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Hiring outcomes depend on role requirements, candidate participation, and employer decision-making. We do not guarantee that any candidate will be hired or that any employment relationship will be created.

The Service does not provide legal, tax, or HR advice. Decision Briefs and other outputs are designed to support human judgment, not to replace it. Employers remain responsible for compliance, offers, onboarding, and employment decisions.

To the extent permitted by law, Astatinn is not responsible for actions taken by employers, candidates, or other third parties, including decisions made based on Service outputs.

Limitation of liability

To the maximum extent permitted by law, Astatinn will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Service.

To the maximum extent permitted by law, Astatinn's total liability for any claim arising out of or related to the Service will not exceed the amounts paid by you to Astatinn for the Service in the twelve months preceding the event giving rise to the claim.

Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Astatinn and its affiliates, directors, officers, employees, and agents from and against claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms or applicable law.

Changes, suspension, and termination

We may update the Service and these Terms from time to time. If changes are material, we will post an updated version and revise the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance.

We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms, if your use poses a security risk, or as permitted under your agreement.

Upon termination, your right to access the Service ends. Employer customers may have export, retention, or deletion terms in their separate written agreements. Certain provisions of these Terms survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, and governing law.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in Delaware, unless otherwise required by applicable law or a separate written agreement.

You agree that money damages may not be a sufficient remedy for unauthorized use of the Service or misuse of confidential materials, and that Astatinn may seek injunctive or equitable relief where permitted by law.

Miscellaneous

  • Assignment: you may not assign these Terms without Astatinn’s prior written consent.
  • Severability: if any provision is unenforceable, the remaining provisions remain in effect.
  • No waiver: failure to enforce a provision is not a waiver of that provision.
  • Force majeure: neither party is liable for delays caused by events beyond reasonable control.
  • Entire agreement: these Terms, together with incorporated policies and any separate written agreement, form the entire agreement.
  • Export and sanctions: you may not use the Service in violation of applicable export controls or sanctions laws.
